COOPERATION  AGREEMENT  合作协议框架

The undersigned :

ECTI, independent association of Professional Senior Volunteers, non profit making, state approved, registered 101-109, rue Jean Jaurès, 92300 Levallois-Perret, France, hereinafter called ECTI, represented by Mr. Georges DUPASQUIER, Président,
hereby agree on the following.

 PREAMBLE. 

       The CP, acting as an intermediary for Chinese Enterprises or Administrations or Institutes, – Requesting Units – RU –, is eager to organize a cooperation between them and foreign experts of ECTI to contribute to their development and modernization. 
       ECTI has amongst its members numerous experts who worked as managers and senior engineers or economists in various fields such as agriculture, food processing, industrial technologies, services, management of enterprise and can put them as volunteers at the disposal of the CP which accepts. 

      The present agreement defines the conditions of this cooperation. 

Article 1 – Selection of the expert.  

      The CP or the Requesting Unit – RU – states the target of the RU in a document named “Request for foreign expert” (enclosure n°1). This request specifies the main activity of the company, a background information of the company, the project terms of reference, the assignment target and the requirements relating to the expert.
ECTI chooses one (or two) expert(s) and will propose to the RU through the CP his (their) resume. In addition ECTI proposes a duration and a period for the execution of the assignment 
      If the CP/RU rejects the ECTI’s proposal another expert is put forward.
 
   When the CP/RU and ECTI come to an agreement on an expert, ECTI draws up a Memorandum of Agreement (enclosures n°2-1 and 2-2) which defines the rights, the duties and the responsibilities of each party and which is to be signed by the three parties : CP, ECTI and the expert. 

In particular the expert must :

·        bring his expertise in the best conditions of availability, efficiency and conviviality,

·        comply with the Chinese regulations and laws applicable to the foreigners and the procedures of the organization which invite him.
If the request relates to a high technology protected under international patent laws or to a state-of-the-art process ECTI is entitled to give up to propose any expert.

 Article 2 – Conditions of the expert’s stay. 

        If the CP/RU accepts the ECTI’s proposal the material conditions of the expert’s stay are defined according to the document called “ Tasks to be carried out by the Chinese Party in case of a contract of assignment” (enclosure N°3) which is full part of the present agreement. These tasks must be carried out under the responsibility of the CP.
In Beijing the expert’s reception is under the responsibility of the CP or RU which either may carry it out itself or appoint “CHINA SERVICES INTERNATIONAL”. 

       In Shanghai the CP or RU has the direct responsibility to organize the reception of the expert. 

     If, for a good achievement of his assignment, the expert deems it suitable to make a special preparation, the relevant expenses – buying of documentation or equipment, visits, printing of documents – would be submitted to the CP prior to execution for agreement of payment. 

Article 3 – Contribution towards ECTI expenses.

 Article 4 – Coordination. 

           The CP and ECTI each will appoint a coordinator for solving the possible disagreements and upholding an efficient relationship  .  

Article 5 – Alterations and amendments. 

          The present agreement can be modified upon mutual agreement by the CP and ECTI. The modifications will come into force on the date of signature of corresponding amendment. 

Article 6 – Duration of the agreement. 

          The present agreement will be valid for one year from the date of signature by both parties. It will be renewable by tacit agreement for periods of one year each. 

Article 7– Termination of the agreement. 

          Each contracting party can put an end to the present agreement under a three months written notice.
